These Terms of Service apply to anyone who uses our website or engages Simo Digital Hub for digital marketing or SEO services.

1. Who these terms apply to

These Terms of Service ("Terms") apply to anyone who uses the website at simodigitalhub.co.nz ("the website") or who engages Simo Digital Hub ("we", "us", "our") for digital marketing or SEO services ("the services").

By submitting an enquiry, creating an account, or engaging our services, you agree to these Terms.

2. Our services

We provide digital marketing and SEO services to small and medium-sized businesses in New Zealand. The specific services, deliverables, and pricing applicable to your engagement are set out in the proposal or service agreement we provide to you separately.

These Terms apply in addition to any proposal or service agreement. If there is a conflict, the proposal or service agreement takes precedence.

3. The trial period

We offer a 3-month trial period for clients who are new to working with us. During the trial:

  • Services are provided as described in your proposal
  • Payment is made monthly in advance
  • Either party may end the engagement at the end of the trial period with written notice

At the end of the trial period, we will review results with you. If you choose to continue, you move to a monthly retainer as described in section 4.

4. Monthly retainer

After the trial period, services continue on a month-to-month retainer basis.

  • Payment is due monthly in advance on the date agreed in your proposal
  • Either party may cancel the retainer with 30 days written notice
  • There is no minimum term after the trial period

5. Payment

Payment methods: We accept payment by credit or debit card via Stripe, or by direct bank transfer.

Due date: Payment is due within 7 days of the invoice date.

Late payment: If payment is not received within 14 days of the due date, we reserve the right to pause services until the account is brought up to date.

Bank transfer: If paying by bank transfer, please include your invoice number as the payment reference and upload a copy of your receipt via the client portal. Your subscription will be activated once payment is verified.

Refunds: We do not offer refunds for work already completed or for the current billing period. If you cancel with 30 days notice, you will not be charged for the following period.

6. What we need from you

To deliver our services effectively, we may need:

  • Access to your Google Business Profile, website, or analytics accounts
  • Content, images, or information about your business
  • Timely responses to our requests and questions

Delays caused by your failure to provide required materials may affect delivery timelines. We will not be held responsible for delays caused by factors outside our control.

7. Ownership of work

Unless agreed otherwise in writing:

  • Any content we create for you (blog posts, page copy, etc.) becomes your property once full payment is received
  • Any tools, templates, or processes we use to deliver the work remain our property
  • We may mention your business as a client in our own marketing unless you ask us not to

8. Results and expectations

SEO and digital marketing results take time. We do not guarantee specific rankings, traffic levels, or revenue outcomes. We commit to applying professional skill and best-practice methods to your engagement.

We will provide honest reporting on what is working and what is not. If we believe a different approach is needed, we will tell you.

9. Confidentiality

We will keep your business information confidential and will not share it with third parties except as required to deliver our services (for example, sharing your website URL with SEO tools). See our Privacy Policy for full details on how we handle personal data.

10. Limitation of liability

To the extent permitted by NZ law:

  • Our total liability to you for any claim arising from these Terms or our services is limited to the total fees paid by you in the 3 months preceding the claim
  • We are not liable for indirect or consequential losses, including lost revenue or lost opportunity
  • Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded by law under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986

11. Disputes

If a dispute arises, both parties agree to attempt to resolve it in good faith before taking formal action. Contact us at contactus@simodigitalhub.co.nz.

These Terms are governed by the laws of New Zealand. Any disputes that cannot be resolved informally will be subject to the jurisdiction of the New Zealand courts.

12. Changes to these terms

We may update these Terms from time to time. We will notify registered clients of significant changes by email at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
